Terms of Use
Last updated: 23 October 2026
1. Definitions & Agreement
In these Terms:
“Gateway”, “we”, “us”, or “our” means Next Generation Media Limited (NZBN 9429053566256), including any related services operated under the Gateway brand.
“You” or “your” means the individual or entity using Gateway.
“Server” means any computer, virtual machine, host, or other system you connect to Gateway.
“Third-Party Service” means any service operated by someone other than us that you connect to, or use with, Gateway, including ChatGPT.
“Services” means the Gateway platform, website, application, server administration service, integrations, and any related features or functionality we provide.
“Your Data” means information you provide to Gateway, transfer through Gateway, or that Gateway receives from your Servers while providing the Services.
“Terms” means these Terms of Use.
These Terms govern your use of the Services.
By accessing or using Gateway, you agree to these Terms. If you do not agree to these Terms, you must not use the Services and must stop use of Gateway immediately.
You should also read our Privacy Policy.
When you create an Account, we will ask you to accept these Terms by selecting “Agree and continue” or a similarly worded control. Doing so forms the agreement between you and us. We may also ask you to accept these Terms when you create a team or buy a paid feature.
IN OTHER WORDS,
These are our rules... exciting, isn't it?!
By using Gateway, you're agreeing to them. If you're like us, you don't always have time to read through the entire document. That's why we've summarised the key points for you, and we'll update you in nearly all cases if material changes are made.
You should also read our Privacy Policy. These are here to protect both you and us; if you don't agree, feel free to exit out of the nearest browser.
When you sign up, we'll ask you to click “Agree and continue”. An actual button, with actual consequences. Very formal. We may ask again when you create a team or buy something, for the avoidance of doubt.
2. Eligibility
To use Gateway, you must:
- be at least 13 years old;
- have the legal capacity to enter into these Terms, or use Gateway with any permission required by law;
- provide accurate information;
- be authorised to act on behalf of any organisation for which you use Gateway; and
- have lawful authority to access and administer every Server you connect to Gateway.
If you are under 18 years old, you must have permission from your parent or legal guardian.
Your parent or legal guardian is responsible for supervising your use of Gateway to the extent required by law.
If you do not meet these requirements, you must not use the Services.
IN OTHER WORDS,
You must be at least 13 years old to use Gateway. Sorry to all you under-13 server administrators, but rules are rules. If you're under 18, you'll need permission from a parent or guardian.
Keep your information accurate, make sure you actually have permission to act for any organisation you're representing, and only connect servers you're allowed to administer.
3. What Gateway Is
Gateway is a software service that allows supported Third-Party Services to inspect, administer, and perform work on Servers you connect.
Gateway can perform both read-only and state-changing operations, including operations that may alter software, configuration, files, services, accounts, networks, storage, or other aspects of a Server.
Gateway is not a managed hosting service and does not independently monitor, maintain, back up, or administer your Servers unless we expressly state otherwise.
You remain responsible for your Servers, applications, data, infrastructure, and compliance obligations.
IN OTHER WORDS,
Give your AI assistant a server and let it get on with it.
We're not your outsourced server administrator. We just give your AI assistant a remarkably well-stocked toolbox. What you ask it to do with that toolbox is still your call, captain.
4. Accounts
You must:
- provide accurate information;
- keep your login credentials and sign-in methods secure; and
- be authorised to act on behalf of any organisation for which you use Gateway.
You are responsible for all activity under your Account, except to the extent that activity results from our breach of these Terms or our failure to use reasonable care.
You must notify us promptly if you believe your Account or an authorised connection has been compromised.
We may require you to confirm your identity again before allowing sensitive Account or Server actions.
IN OTHER WORDS,
Keep your sign-in methods safe. Don't share them with your cat, your dog, or that sketchy guy at the coffee shop.
If somebody gets into your account because you handed them the keys, well... that's going to be rather difficult for us to fix.
For particularly important actions, Gateway may ask you to prove you're still you.
5. Connected Servers & Access
By connecting a Server, you authorise Gateway to establish, retain, and use the technical access reasonably required to provide the Services.
You authorise Gateway to connect to that Server and perform operations requested through your Account or an authorised Third-Party Service.
You are responsible for ensuring that:
- the Server details you provide are correct;
- Gateway has only the level of access you intend to grant;
- your use of that access is lawful; and
- any third-party data or systems accessible from that Server may lawfully be accessed or processed as part of your use of Gateway.
You may remove a Server or revoke Gateway's access to it using the controls we provide.
IN OTHER WORDS,
If you connect a server, we're going to assume you meant to.
Make sure it's yours - or that the person whose server it is is equally enthusiastic about the idea.
You can take Gateway's access away again whenever you like.
6. Billing, Suspension & Recovery
Gateway may charge based on:
- subscriptions;
- usage;
- number of Servers;
- optional services, including Private Regions and paid add-ons; or
- other pricing models clearly disclosed before you are charged.
Unless stated otherwise:
- subscriptions are billed in advance;
- usage-based charges are billed in arrears;
- all fees are in United States dollars and exclude GST unless stated;
- subscriptions are generally non-refundable, except where required by New Zealand law; and
- Gateway's service is delivered electronically.
If payment is overdue or fails, we may:
- suspend or restrict access to Gateway;
- limit functionality; or
- engage third-party debt collection services.
You may cancel your subscription at any time. Unless stated otherwise when you cancel, paid access will continue until the end of the current billing period. No partial refund is provided for unused time, except where required by New Zealand law.
You agree that reasonable costs of recovery, including collection agency fees and reasonable administrative costs, may be added to an outstanding balance where permitted by law.
Suspension or restriction of access does not waive your obligation to pay any outstanding amounts.
If a change to your plan leaves more Servers connected than your new plan allows, Gateway may remain unavailable until you remove enough Servers to meet the new limit or move to a plan that supports them.
IN OTHER WORDS,
Pay your bills on time, and we'll be best friends.
Fall behind, and we might have to hit pause on your account. Ignore us long enough, and we might send a debt collector your way - and yep, you'll pay the reasonable recovery costs too.
Downgrade below the number of servers you've connected? Nothing gets secretly deleted, but you'll need to tidy that up before Gateway becomes usable again.
7. Instructions & Automated Actions
Gateway may execute instructions submitted through your Account or an authorised Third-Party Service.
Those instructions may result from automated or artificial-intelligence systems and may be executed without separate human review by you or us before each action, unless your trust level asks for your approval.
Automated systems can make mistakes. You are responsible for considering the effect of instructions you give or approve and for maintaining appropriate backups, recovery procedures, access controls, and change-management practices for important systems.
Gateway may check instructions with an automated classifier (the “Gateway classifier”) before they run. Depending on the trust level set for your Account or a Server, the Gateway classifier may let an instruction run, run it with guidance to the assistant that sent it, hold it until you approve it, or decline it. You can change the trust level in your Account settings.
The Gateway classifier is automated and may be wrong. An instruction it allows is not an assurance that the instruction is safe or correct, and it does not replace your own review, backups, access controls and change-management practices. You are responsible for instructions you approve, including any you choose to always allow on a Server.
Gateway may refuse, restrict, delay, or require additional confirmation for an operation where we reasonably believe this is necessary for security, safety, abuse prevention, legal compliance, or service integrity.
IN OTHER WORDS,
Your AI assistant can ask Gateway to do real things, and Gateway may actually do them. There still isn't a tiny sysadmin at Next Generation Media approving every action, but there is now a tiny robot one. It reads each command, waves the routine ones through, and taps you on the shoulder before anything drastic. How fussy it is depends on the trust level you choose.
It's good, not omniscient. Read twice, reboot once, and don't let it be the only thing between you and a bad day.
8. Data Ownership
You retain ownership of Your Data.
You grant us a limited, non-exclusive licence to access, host, copy, transmit, process, store, and otherwise use Your Data only as reasonably necessary to:
- provide and operate the Services;
- perform work you request;
- maintain security and prevent abuse;
- provide support;
- comply with law; and
- exercise our rights under these Terms.
We do not acquire ownership of Your Data merely because it passes through or is stored by Gateway.
You represent that you have the rights and authority necessary for us to process Your Data in this way.
IN OTHER WORDS,
Your data is yours, not ours.
It passing through Gateway does not activate some obscure SaaS version of “finders keepers”. We handle it because that's necessary to make Gateway work and do what you asked.
9. Gateway Intellectual Property
Gateway and all associated software, interfaces, documentation, designs, branding, systems, and other intellectual property are owned by us or our licensors.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Services for their intended purpose.
Except to the extent expressly permitted by law, you must not:
- copy or reproduce non-public parts of Gateway;
- reverse engineer, decompile, or attempt to derive source code from Gateway;
- probe, extract, scrape, or systematically reproduce non-public interfaces, specifications, capability catalogues, or service internals;
- circumvent access controls, technical restrictions, usage limits, or security measures; or
- use unauthorised automated means to extract non-public information from the Services.
Nothing in these Terms transfers ownership of Gateway or our intellectual property to you.
IN OTHER WORDS,
Your servers are yours. Gateway is ours. Seems fair.
Enjoy the magic trick; please don't climb backstage and dismantle the props.
10. Acceptable Use
You must follow our Acceptable Use Policy at trygateway.sh/legal/acceptable-use, which forms part of these Terms. If you breach it, we may place your Account on hold, suspend the affected Server or your Account, or terminate your access, under sections 16 and 17.
We may update the Acceptable Use Policy from time to time. Updates take effect when we publish them and are not presented for acceptance under section 21.
We may investigate suspected abuse and may suspend or terminate access where reasonably necessary.
Child sexual abuse material. You must not use Gateway to store, transfer, distribute, or otherwise handle child sexual abuse material, in any form. This prohibition is absolute. If we find, or are told about, material on Gateway that we reasonably believe is child sexual abuse material, we will immediately and permanently terminate every Account involved, without notice to the account holder and without any refund, and we will report it to the National Center for Missing & Exploited Children, the New Zealand Department of Internal Affairs, New Zealand Police, and other authorities with jurisdiction, as described in our Privacy Policy.
Reporting abuse. Anyone, whether or not they have an Account, may report abuse of Gateway, including suspected child sexual abuse material and copyright infringement, using the form at trygateway.sh/abuse or by email to hey@trygateway.sh. A report should say where the material or activity is, such as a Server address, file name, or job identifier. A report must not include or attach the material itself.
IN OTHER WORDS,
The house rules live in our Acceptable Use Policy, on their own page so they're easy to find. They're part of these Terms, so please follow them.
Break them and we may pause things, switch off a server, or close your account. Play nice, or we'll show you the door.
Child sexual abuse material ends your account immediately and permanently. No warning, no appeal, no refund. We report it to NCMEC, the Department of Internal Affairs and the police.
Seen something on Gateway that shouldn't be there? Tell us at trygateway.sh/abuse or hey@trygateway.sh, account or not. Say where it is. Please don't send us the thing itself; we really don't need a copy.
11. Sanctions & Export Control
You must not use the Services:
- from, for, or on behalf of any person, entity, country, or territory that is subject to comprehensive sanctions;
- from, for, or on behalf of any person or entity named on a sanctions or restricted-party list maintained by the United Nations, by New Zealand, or under any other sanctions law that applies to us or to you; or
- to export, re-export, or transfer any software, technology, or data in breach of applicable export-control laws.
We may screen Accounts, and may restrict access, place an Account on hold, refuse service, or terminate access where we consider it necessary to comply with sanctions or export-control laws.
This section reflects legal obligations that already apply to you and to us. It does not replace or limit any of those obligations.
IN OTHER WORDS,
If the law says you can't do business with someone, Gateway can't help you do it anyway. We checked. Thoroughly.
If staying on the right side of that law means putting an account on hold, that's what we'll do.
12. Availability & Changes to the Service
We aim to provide reliable Services but do not guarantee that Gateway will always be available, uninterrupted, or error-free.
Unless we expressly agree to a separate service level agreement in writing, no particular uptime, availability, or response-time commitment applies.
We may perform maintenance, respond to incidents, change infrastructure, add or remove features, or alter how the Services operate.
Where a change materially reduces a paid Service, we will provide reasonable notice where practicable.
We are not responsible for interruptions caused by circumstances outside our reasonable control.
IN OTHER WORDS,
We aim for boringly reliable.
Servers crash, networks wobble, maintenance happens, and occasionally the internet simply chooses violence. We're not going to invent a magic uptime percentage and pretend nothing can ever go wrong.
13. Security
We take reasonable technical and organisational measures to protect the Services and information entrusted to Gateway, including access controls, authentication safeguards, encryption where appropriate, restricted internal access, and monitoring for abuse and unauthorised access.
No computer system or network can be guaranteed to be completely secure.
You are responsible for maintaining the security of your own Account, sign-in methods, Servers, and systems outside our control.
IN OTHER WORDS,
We lock things down with encryption, access controls, and monitoring.
No system is unhackable, though, so please don't make our job harder by handing somebody the keys.
14. Backups
Gateway is not a backup, archival, or disaster-recovery service unless we expressly state otherwise.
You are responsible for maintaining appropriate backups and recovery procedures for your Servers, applications, files, configuration, and other important data.
You must not rely on Gateway's job history, Activity history, transferred files, or other records as your only copy of important information.
IN OTHER WORDS,
If there is only one copy, it isn't a backup.
Gateway has not repealed this ancient law of computing.
15. Third-Party Services
Gateway may interoperate with Third-Party Services, including ChatGPT.
Those services are operated independently from Gateway and may be subject to separate terms, privacy policies, limits, availability, and Account requirements.
You are responsible for complying with the terms that apply to your use of those Third-Party Services.
We do not control and are not responsible for a Third-Party Service's availability, functionality, outputs, changes, policies, or acts or omissions.
A failure or change in a Third-Party Service may affect your ability to use Gateway.
ChatGPT is a trademark of OpenAI. Gateway is an independent product and is not affiliated with, endorsed by, or sponsored by OpenAI.
IN OTHER WORDS,
We built Gateway. We did not build ChatGPT.
If somebody else changes their service, breaks something, or rearranges the furniture, we'll work with what they give us - but regrettably they don't ask us first.
16. Suspension
We may suspend or restrict your access to some or all of the Services where reasonably necessary because:
- you materially breach these Terms;
- payment is overdue or has failed;
- your Account or use of Gateway presents a security or abuse risk;
- we reasonably suspect unlawful or unauthorised activity;
- you exceed or circumvent applicable plan or resource limits;
- we are required to do so by law; or
- continuing to provide the Services would create unreasonable risk to us, our providers, our users, or third parties.
Where reasonably practicable, we will provide notice and an opportunity to resolve the issue.
Urgent security, legal, abuse, or infrastructure risks may require immediate action.
Suspension does not cancel amounts already owed.
IN OTHER WORDS,
Break the rules, skip payments, or create a genuine security problem and we may hit pause.
Usually we'll tell you what's wrong and give you a chance to sort it out. Sometimes an urgent problem doesn't give either of us that luxury.
17. Termination
You may stop using Gateway at any time and may cancel any recurring paid subscription using the controls we provide.
We may terminate your access where:
- you materially or repeatedly breach these Terms;
- payment remains overdue;
- there is serious or repeated fraud, harm, abuse, or unauthorised use;
- we are required to do so by law; or
- continuing the relationship would create unreasonable risk to us, our providers, our users, or third parties.
Where reasonably practicable, we will provide notice before permanent termination.
Upon termination:
- access may be revoked;
- recurring billing will end in accordance with the applicable cancellation or termination date;
- data may be retained or deleted in accordance with our Privacy Policy and applicable law;
- where technically available and reasonably practicable, an Account in good standing may be given a reasonable opportunity to retrieve data that the Services already make available for retrieval; and
- outstanding amounts remain payable.
Despite the above, an Account terminated under section 10 for child sexual abuse material is terminated immediately and permanently, without notice and without any opportunity to retrieve data, and no refund is given.
IN OTHER WORDS,
You can quit anytime. We can boot you if you break the rules or skip payments.
If we part ways nicely, we'll try to make the exit equally uneventful and give you a reasonable chance to grab anything Gateway already lets you retrieve.
If you owe us, though, we settle that first.
Child sexual abuse material is the exception to all of that: no notice, no chance to download anything, no refund.
18. Liability
Nothing in these Terms excludes or limits any liability, right, guarantee, or remedy that cannot lawfully be excluded or limited.
Subject to that, and to the maximum extent permitted by law:
- the Services are provided on an “as available” and “as is” basis;
- we do not guarantee that automated or third-party-generated instructions will always be correct, complete, or appropriate for your environment;
- we are not liable for loss caused by instructions you submit or approve, your failure to maintain reasonable backups or recovery arrangements, your unauthorised use of a Server, or a Third-Party Service, except to the extent that loss was caused by our breach of these Terms or applicable law;
- neither party is liable to the other for indirect or consequential loss, or for loss of profit, revenue, goodwill, anticipated savings, or business opportunity, to the extent permitted by law; and
-
our total aggregate liability to you for all claims arising out of or relating to the Services in any 12-month period will not exceed the greater of:
- US$100; or
- the fees paid or payable by you in respect of the 12 months immediately preceding the first event giving rise to a claim.
If you have not paid for the Services, the aggregate cap above is US$100.
All claims arising from the same or related acts, omissions, circumstances, or events will be treated as a single claim for the purposes of the liability cap.
The limitations above apply regardless of the legal basis of a claim, to the maximum extent permitted by law.
IN OTHER WORDS,
Gateway comes “as is”.
If we screw up big time, the most we generally owe you is the greater of US$100 or what 12 months of Gateway cost you. That's a combined cap, not US$100 every time somebody takes another swing at us.
If you're using Gateway for free, that's US$100.
Your rights under New Zealand law still apply, though.
19. Consumer Guarantees Act
Nothing in these Terms limits or excludes any right, guarantee, remedy, or protection you have under the Consumer Guarantees Act 1993 or other New Zealand law that cannot lawfully be limited or excluded.
IN OTHER WORDS,
If New Zealand consumer law gives you a right we can't contract out of, you keep it.
The Terms don't get to outrank Parliament. Awfully inconsiderate of it, really.
20. Business Users
If you acquire the Services in trade, and:
- the Services are supplied and acquired in trade;
- all parties to the agreement are in trade;
- all parties agree that the Consumer Guarantees Act 1993 will not apply; and
- it is fair and reasonable that the parties are bound by that agreement,
then, to the extent permitted by section 43 of the Consumer Guarantees Act 1993, you and we agree that the Consumer Guarantees Act 1993 does not apply to the supply of the Services to you.
IN OTHER WORDS,
Genuine business-to-business deal?
Where New Zealand law lets businesses agree that the Consumer Guarantees Act doesn't apply, that's what we're agreeing to do here.
It isn't a magic “business” checkbox that makes consumer law disappear.
21. Changes to Terms
We may update these Terms from time to time. Each update is either material or minor.
A material change is one we reasonably consider affects your rights or obligations in a meaningful way. We will present material changes to you for acceptance through Gateway, with a summary of what changed and the date the changes take effect, and we may also tell you by email. Material changes apply to you once you accept them.
If you have not accepted material changes by the date they take effect, you may still use billing (including cancelling), support, account closure and these Terms, but we may restrict other use of the Services, including starting new jobs, until you accept the changes or close your Account.
A minor change corrects errors, clarifies wording, or does not reduce your rights. Minor changes take effect when we publish them or on any later date we state, and your continued use of Gateway after that date constitutes acceptance of them.
If you do not agree to updated Terms, you must stop using Gateway and the Services, and you may close your Account.
We will not use a change to these Terms to retrospectively remove rights or remedies that have already arisen.
IN OTHER WORDS,
We might tweak these Terms.
Anything that matters, we'll put in front of you with a summary and a button. We consider this a marked improvement on hoping you'd noticed.
Not ready to agree? Billing, support and the exit stay open. We'll just stop starting new jobs for you until you decide.
Typos and tidying up simply happen, with a small banner by way of apology. Carry on using Gateway and we'll take that as a yes.
We still don't get to rewrite yesterday after something has already happened.
22. General
These Terms are governed by New Zealand law.
To the maximum extent permitted by applicable law, you and we submit to the exclusive jurisdiction of the courts of New Zealand in relation to any dispute arising out of or in connection with these Terms or the Services.
These Terms, together with any additional written terms expressly agreed between you and us, form the entire agreement governing your use of the Services.
Notices relating to the Services may be sent electronically, including by email or through Gateway.
IN OTHER WORDS,
New Zealand law rules.
Disputes belong in New Zealand courts, as far as the law lets us agree to that.
These Terms cover the deal unless we've both expressly agreed to something else in writing.
23. Survival
Any provision of these Terms which by its nature should survive termination or expiry will continue in effect after termination or expiry of your use of Gateway.
This includes, but is not limited to:
- payment obligations;
- intellectual property rights;
- data rights and lawful retention obligations;
- liability limitations;
- indemnities;
- governing law and jurisdiction; and
- obligations arising before termination.
IN OTHER WORDS,
Even after you leave, some rules stick around - like owing us money, ownership staying ownership, and the liability limits still being the liability limits.
Closing an account is not a contractual memory wipe.
24. Indemnity
To the extent permitted by law, you indemnify and hold harmless Gateway, Next Generation Media Limited, and their officers, employees, and contractors against reasonable losses, liabilities, costs, and third-party claims to the extent they arise from:
- your intentional, reckless, fraudulent, or unlawful use of Gateway;
- your access to or administration of a Server without lawful authority;
- Your Data infringing the rights of another person; or
- your material breach of the warranties or obligations you give in these Terms.
This indemnity does not apply to the extent a loss or claim was caused by our negligence, wilful misconduct, breach of these Terms, or other act or omission for which we are legally responsible.
IN OTHER WORDS,
If your use of Gateway gets us sued, you cover the reasonable costs.
So, broadly speaking: don't be reckless.
And no, this isn't a magic clause that turns our own mistakes into your bill.
25. Severability
If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be limited, modified, or removed only to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
IN OTHER WORDS,
If one rule gets struck down, the rest stand.
One bad apple doesn't spoil the bunch.
26. No Waiver
Failure or delay by either party to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right, provision, or any other right.
A waiver is effective only if it is expressly given by the party entitled to that right.
IN OTHER WORDS,
We don't enforce something today? Doesn't mean we can't tomorrow.
Same goes for you. Nobody loses a right just because they didn't immediately reach for it.
27. Teams
You may create a team to use Gateway on behalf of an organisation, such as a company, partnership, or other group.
By creating a team, you confirm that you are authorised to bind that organisation to these Terms, and you accept them on its behalf.
For the purposes of these Terms:
- the organisation is the customer for the team's resources, including its Servers, stored secrets, files, jobs, add-ons, and subscriptions;
- members act on the organisation's behalf when they use the team, and the organisation is responsible for their activity within the team as if it were activity under its own Account, subject to the exception in section 4;
- each member remains personally bound by these Terms and keeps their own Account; and
- a team has at least one Owner at all times. Owners manage the team's billing, ownership, and deletion, and Admins manage its members, Servers, and stored secrets.
Billing. There is no charge for members. A team is billed for the Servers connected to it, at the prices shown on our pricing page or at checkout, including any minimum monthly charge. Charges change, with proration, as Servers are added to or removed from the team. Teams have no free plan and no free trial. Section 6 applies to teams as it does to Accounts.
Moving Servers. A Server moved from a personal Account into a team becomes a team resource and is billed to the team from that time.
Members. Owners and Admins may invite and remove members and decide which team Servers each member may use. A member who leaves or is removed loses access to the team immediately. Anything they added remains with the team.
Suspension and termination. Sections 11, 16, and 17 apply to a team as they do to an Account. We may place a hold on, suspend, or terminate an individual member, which affects that member everywhere, or a team as a whole, which affects every member's use of that team.
Deleting a team. Only an Owner may ask us to delete a team. Before a team is deleted:
- any outstanding balance on the team must be paid;
- the Owner must confirm their identity again; and
- a member of Gateway's staff must confirm the deletion.
Deleting a team removes all of its Servers from Gateway and revokes the access Gateway held for them. Records are retained or deleted in accordance with our Privacy Policy.
IN OTHER WORDS,
Teams are how a whole organisation uses Gateway together.
Create one, and you're telling us you're allowed to sign your organisation up. The organisation is then our customer for everything in the team, and the people in it are working on its behalf.
Seats are free. You pay per server, there's no free tier and no trial, and a server moved into a team is billed to the team from then on.
Deleting a team is deliberately hard: settle the bill, prove you're you, and a real person at Gateway confirms it. Nobody should lose a whole fleet to one stray click.
28. Paid Add-ons
You may buy optional add-ons in addition to a plan. Unless stated otherwise, each add-on is billed monthly in advance, at the price shown on our pricing page or at checkout, and section 6 applies to it.
- Static egress IP: billed per IP address, per region, per month, and available with any plan, personal or team. Each address serves one region, so a static IP in each of three regions is three addresses. After you buy each one, you request its setup through our support portal, and setup may take some time. The address remains ours and is assigned to you while the add-on lasts. We may change it where reasonably necessary for security or because of a provider, with notice where practicable. When the add-on ends, the address is released and may later be assigned to someone else.
- Extended audit retention: billed per team, per month, and available to teams only. If it ends, the team has 30 days to export its records before they are trimmed as described in our Privacy Policy.
- Cloud storage: every Account and every team includes cloud storage at no extra charge: 25 GiB on Free, and more on some paid plans, as shown on the pricing page. Additional storage and longer file retention are billed per tier, per month. When your storage is full, new uploads are refused until you free space or add storage. We do not delete files to make room. If you reduce your storage or file retention, the terms of the tier you move to apply from that time.
- Private Region: billed per region, per month, and billed separately from your plan.
You may cancel an add-on at any time. Unless stated otherwise when you cancel, it continues until the end of the current billing period.
IN OTHER WORDS,
Add-ons are extras on top of your plan, billed monthly like everything else.
A static IP is charged per address, per region. Want one in all three regions? That's three. Audit retention is per team. Everyone gets at least 25 GiB of storage free, and if you fill it, we stop taking new uploads rather than throwing anything away.
Cancel whenever you like. You keep what you paid for until the end of the billing period.
29. Cloud Servers
You may buy a cloud server from us through Gateway Cloud: a virtual server that we provide on infrastructure supplied by our hosting provider and connect to your Account (a “Cloud Server”). A Cloud Server is a Server for the purposes of these Terms. Despite section 3, we provide the Cloud Server itself. You remain responsible for the software, configuration, data, and use of everything on it.
Section 12 applies to Gateway Cloud.
Billing. Each Cloud Server, and each add-on for it, is a separate monthly subscription billed in advance at the price shown on our pricing page or at checkout. Section 6 applies, with these differences:
- the first month is charged before the Cloud Server is created;
- each renewal is charged a few days before the paid month ends and pays for the following month, so the date your paid month ends does not change;
- if a renewal payment fails and remains unpaid before the paid month ends, the Cloud Server and everything on it is deleted before the next month begins. We will email you before that happens;
- payments for Cloud Servers and their add-ons are non-refundable, except where required by New Zealand law. We may choose to refund a payment, for example where we believe a card was used without its holder's permission; and
- each Cloud Server counts as one of the Servers your plan allows.
Acceptable use. You must follow our Acceptable Use Policy, including its Cloud Servers section. What we may do when a Cloud Server is used in breach of it, including placing your Account on hold for a compliance review, stopping or deleting a Cloud Server, suspending your Account, or terminating your access, is set out in the Acceptable Use Policy.
Monitoring agent. Every Cloud Server runs a monitoring agent, named gateway-cloud-agent, which we install when the Cloud Server is created. It reports to us processor and memory use, network bytes sent and received, the number of new outbound SSH connections, changes to the Cloud Server's SSH host keys, its own version, and when the Cloud Server shuts down or restarts. It does not read your files, does not collect process names, commands, or file contents, and does not accept commands. You must keep it installed and running. If it stops reporting while the Cloud Server is still running, we will notify you, and if it has not resumed by the end of the notice period shown in Gateway, we will stop the Cloud Server.
We do not scan the disks, backups, or files of your Cloud Servers.
Access. Gateway keeps SSH access to each Cloud Server in order to provide the Services. You must not remove that access or block Gateway's addresses from reaching the Cloud Server.
Transfer allowance. Each Cloud Server includes the monthly data transfer allowance shown on our pricing page, counting traffic in both directions. We will notify you as a Cloud Server approaches its allowance. When it is reached, we block the Cloud Server's network or stop the Cloud Server until the allowance resets at the start of its next monthly period or more transfer is added. While it is blocked or stopped, the Cloud Server cannot send or receive traffic, including connections from Gateway. Unused allowance does not carry over, and we do not charge for additional transfer unless you choose to add it.
Backups. We do not back up Cloud Servers unless you buy the backups add-on for that Cloud Server. The add-on keeps the two most recent backups, on the schedule you choose. Section 14 continues to apply.
Deletion. Deleting a Cloud Server permanently destroys its disk and everything on it, including its backups, and cannot be undone. If your Account or team is closed or terminated, its Cloud Servers are deleted. Where the law requires us to preserve information, we may keep a copy of a Cloud Server for as long as the law requires before deleting it.
IN OTHER WORDS,
Haven't got a server? We'll rent you one. It's yours to run; we just keep the lights on.
You pay a month ahead, renewals come a few days early, and if a renewal never arrives, the server goes before the next month starts. We'll email you first. Payments aren't refundable unless New Zealand law says otherwise.
Cloud servers have a few extra house rules in the Acceptable Use Policy. That's also where you'll find what happens if one is broken.
A small, clearly named agent, gateway-cloud-agent, tells us how busy the server is. It never looks at your files. Switch it off and, after a warning, the server switches off too.
Use up the month's transfer and the server goes quiet until next month, or until you add more.
No backups unless you buy them. Delete a cloud server and it's gone. Properly gone.
30. Copyright
You must not use Gateway to store or transfer material that infringes another person's copyright.
We respond to notices of claimed copyright infringement in accordance with the United States Digital Millennium Copyright Act (17 U.S.C. § 512) and, where it applies, the Copyright Act 1994 (New Zealand).
Notices. If you believe that material stored or transferred through Gateway infringes your copyright, you may send us a notice using the form at trygateway.sh/abuse or by sending it to our designated agent below. To be valid, a notice must include:
- a physical or electronic signature of the copyright owner or of a person authorised to act on their behalf;
- identification of the copyrighted work claimed to have been infringed;
- identification of the material claimed to be infringing, with information reasonably sufficient for us to locate it, such as a Server address, file name, or job identifier;
- your name, postal address, telephone number, and email address;
- a statement that you have a good-faith belief that use of the material in the manner complained of is not authorised by the copyright owner, its agent, or the law; and
- a statement that the information in the notice is accurate and, under penalty of perjury, that you are the copyright owner or are authorised to act on the owner's behalf.
We may forward a notice, including the name and contact details of the person who sent it, to the customer responsible for the material.

Takedown. When we receive a valid notice, we act expeditiously to remove or disable access to the material. For a file stored in Gateway, we disable access to it. For material on a Gateway cloud server, we ask the customer to remove it within the period we state, and if it is not removed in that period, we may stop the cloud server. We tell the customer what was removed or disabled and why.
Counter-notices. If material of yours was removed or disabled because of a notice, and you believe that happened as a result of mistake or misidentification, you may send us a counter-notice using the link we give you. To be valid, a counter-notice must include:
- your physical or electronic signature;
- identification of the material that was removed or disabled, and the location at which it appeared before it was removed or disabled;
- a statement under penalty of perjury that you have a good-faith belief that the material was removed or disabled as a result of mistake or misidentification;
- your name, postal address, telephone number, and email address; and
- a statement that you consent to the jurisdiction of the appropriate court for your address, or, if your address is outside the United States, of any judicial district in which we may be found, and that you will accept service of process from the person who sent the notice or their agent.
We forward a valid counter-notice, including your name and contact details, to the person who sent the notice. Unless they tell us, within 10 business days of receiving it, that they have filed a court action seeking to restrain the activity, we restore the material, or stop disabling access to it, no sooner than 10 and no later than 14 business days after we receive the counter-notice.
Repeat infringers. We terminate, in appropriate circumstances, the Accounts of repeat infringers. An Account that receives three valid notices within any 12-month period is terminated. A notice does not count towards that total if the material was restored after a counter-notice and the person who sent the notice did not file a court action. Sections 16 and 17 apply.
A person who knowingly and materially misrepresents that material is infringing, or that it was removed or disabled by mistake or misidentification, may be liable for damages under 17 U.S.C. § 512(f).
IN OTHER WORDS,
Don't use Gateway to store or move things you don't have the rights to.
Think something here is yours? Send a proper notice. The law has a checklist, and so, by extension, do we.
We pass notices on to the customer, your name and contact details included. Anonymous takedowns aren't a thing, however tempting.
Taken down by mistake? Send a counter-notice. Unless the other side goes to court, your file comes back 10 to 14 business days later. Not quick, we know. The timetable was written in Washington, not here.
Three valid notices in a year and the account is closed. If you counter-noticed and the other side never went to court, that one doesn't count.
And please don't make things up in either direction. Lying in a notice or a counter-notice can get expensive.
